Terms & Conditions

Terms & Conditions

Version 1.0 (Comprehensive, All Products, Agency Services & Subscriptions)

Effective Date: August 16, 2026

Company: Social Blueprint LLC, a Texas limited liability company

Headquarters: 1642 Scull Road, San Marcos, TX 78666

Governing Law: Laws of the State of Texas and the United States

These Terms and Conditions (the “Terms”) form a binding legal agreement between you (“you,” “Client,” “Member,” “Participant,” or “Customer”) and Social Blueprint LLC (“Social Blueprint,” “Company,” “we,” “us,” or “our”). They govern your purchase of, enrollment in, access to, and use of all products and services offered by Social Blueprint LLC, regardless of category (collectively, the “Services”).

Social Blueprint LLC offers three categories of Services:

• Auto-Renewing Products & Retainers, which are sold on a recurring basis and automatically renew at the end of each term for one or more additional terms of equal length, at the renewal fee then in effect, until cancelled. (Examples: Social Media Management retainers, Daily SMS Subscriptions, ongoing coaching).

• Single-Term Products & Projects, which are sold for a specific, fixed term or project scope and do not automatically renew at the end of that term. (Examples: Fixed-term Web Design projects, 1-on-1 coaching packages, VIP days).

• Standalone Products, which are sold on a one-time, non-recurring basis. (Examples: The 30-Day Blueprint, templates, one-time digital downloads).

These Terms apply to all categories of Services, including but not limited to: done-for-you digital marketing and web design services; monthly retainers; coaching programs; digital courses; live and recorded coaching calls; digital tools, templates, worksheets, swipe files, and resources; one-time digital downloads; masterclasses; in-person events; and the Daily SMS Subscription offered by Social Blueprint from time to time.

At the time of purchase or contract signing, the specific Service you are purchasing will be clearly identified as an Auto-Renewing Product, a Single-Term Product, or a Standalone Product, and the applicable term length, fees, renewal cadence (if any), and cancellation procedures will be disclosed on the applicable sales page, checkout page, proposal, invoice, or order confirmation.

These Terms are a single, complete agreement that includes all refund, payment, cancellation, default, late fee, collection, and chargeback terms applicable to all Social Blueprint Services in Sections 6, 6A, 7, and 8 below. There is no separate refund or payment policy document, and these Terms are the sole controlling agreement on those matters.

PLEASE READ THESE KEY TERMS CAREFULLY BEFORE COMPLETING YOUR PURCHASE

These Terms include important provisions that affect your legal rights, and the rights and obligations that apply to your purchase depend on the category of Service you are purchasing.

Auto-Renewing Products & Retainers. If the Service you are purchasing is an Auto-Renewing Product (like a monthly SMS subscription or Social Media Management retainer), it will AUTOMATICALLY RENEW for additional terms at the renewal fee then in effect, charged to the payment method on file, UNLESS you cancel before the next Renewal Date using one of the cancellation methods described in these Terms. See Section 7.

Single-Term Products & Projects. If the Service you are purchasing is a Single-Term Product (like a Web Design build or a 3-month coaching package), you are committing to the entire stated term/project and the entire stated Fee. Installment billing, where offered, is a payment convenience only and does not create a right to cancel the remaining balance of your committed project or term. See Sections 6 and 6A.

Standalone Products. If the Service you are purchasing is a Standalone Product (like the $27 Blueprint), you receive the product or content at the time of purchase on a one-time, non-recurring basis. There is no ongoing term and no auto-renewal. See Section 6.

All sales are final; no refunds. Payments are non-refundable to the fullest extent permitted by law, regardless of attendance, participation, results, business decisions, or scheduling. See Section 8.

Chargebacks are prohibited except in cases of actual unauthorized use of your payment method. See Section 8.

Binding individual arbitration and class-action waiver. You and Social Blueprint agree to resolve disputes through binding individual arbitration in Hays County, Texas, and waive any right to a jury trial or class action. See Section 28.

By clicking to accept these Terms, submitting payment, signing a proposal, authorizing a payment plan, accessing any Social Blueprint portal, utilizing our agency services, or downloading a Standalone Product, you agree to these Terms. If you do not agree, do not access or use the Services.

1. Definitions For purposes of these Terms, the following terms have the meanings given below.

"Service" or "Services" means any product, program, membership, course, agency service (including web design and social media management), SMS subscription, event, digital download, or other offering made available by Social Blueprint LLC.

"Auto-Renewing Product" means any Service that automatically renews at the end of an initial term for one or more additional terms (e.g., month-to-month retainers, SMS subscriptions).

"Single-Term Product" means any Service sold for a specific, fixed term or project scope (e.g., a custom web design build or 90-day coaching container) that expires at the end of the stated term.

"Standalone Product" means any Service sold on a one-time, non-recurring basis (e.g., the 30-Day Blueprint PDF).

"Program Term" or "Project Term" means the duration of access, participation, or service delivery for a particular Service.

"Program Fee" or "Project Fee" means the total fee for a Service as stated at the point of purchase, invoice, or proposal.

"Program Materials" means all content made available through or in connection with any Service, including curriculum, videos, frameworks, scripts, daily trend texts, templates, web design drafts, and resources.

2. Scope of the Services Social Blueprint LLC operates a digital marketing agency providing done-for-you services (such as web design and social media management), digital education, coaching, digital product sales, and SMS subscription programming designed to help participants improve their online presence, content strategy, and business growth. The specific Services currently offered by Social Blueprint, their categorization, and their inclusions are subject to change. The sales pages, checkout pages, proposals, and invoices for each Service are the controlling source for the description, term, fees, and category of that Service at the time of your purchase.

2.1 Right to Modify, Substitute, and Rename Social Blueprint may, at any time and in its sole discretion, modify, update, replace, substitute, reduce, add to, suspend, or discontinue any aspect of the Services. Provided that Social Blueprint continues to deliver an experience consistent with the core purpose of the Service at your Enrollment Date, no change of the kind described in this Section entitles you to a refund, a reduction in the Fee, or a release from your payment commitment.

3. Eligibility You may use the Services only if you are at least eighteen (18) years old and have legal capacity to enter into a binding contract. If you are purchasing on behalf of a business entity, references to “you” in these Terms include both you individually and that entity, which are jointly and severally responsible.

4. Enrollment and Acceptance Enrollment or project commencement is not guaranteed until your application, signed proposal, or purchase is accepted by Social Blueprint.

4.1 How You Accept These Terms You accept these Terms, and a binding agreement is formed, when any one of the following occurs:

you click, check, or otherwise affirmatively indicate agreement on a checkout flow

you sign a proposal or agreement that references these Terms

you submit payment or authorize a payment plan

you download a Standalone Product or opt-in to our SMS service

4.3 Electronic Acceptance Is Binding You agree that electronic acceptance has the same legal effect as a handwritten signature under the federal E-SIGN Act and applicable Texas law.

5. Fees 5.1 Program/Project Fee The Fee for each Service will be presented at the time of purchase on the applicable sales page, invoice, proposal, or checkout page. All fees are quoted and payable in U.S. dollars. You are responsible for any applicable taxes or processor fees, unless otherwise required by law.

5.2 Fee Structure by Service Category

(a) Auto-Renewing Products (Retainers/SMS): Automatically renew at the end of each term at the renewal fee then in effect, charged to the payment method on file, until you cancel.

(b) Single-Term Products (Web Design/Fixed Coaching): The full Fee is owed for the entire stated project/term. Installment billing is a payment convenience only; it is not a right to cancel the remaining balance of your committed project.

(c) Standalone Products (Digital Downloads): The full purchase price is charged at the time of purchase.

6. Payment Plans and Term Commitment 6.1 Payment Plans Are Not Month-to-Month Subscriptions Any monthly payment option for a Single-Term Product (like splitting a Web Design project into 3 payments) is a payment plan only. It is not a pay-as-you-go arrangement. You remain responsible for the entire Fee for that committed project.

6.3 Default, Acceleration, and Late Fees If any payment is late, declined, reversed, or charged back, you are in default. Upon default:

the entire remaining balance of the Fee becomes immediately due and payable without further notice

we may assess a late fee of 1.5% per month on any overdue amount

we may suspend your access to Services, pause agency work (including taking down hosted websites or pausing social media posting), or withhold deliverables until your account is brought current.

6.4 Collection Costs If we are required to pursue collection of any amount you owe, you agree to pay all costs of collection, including reasonable attorneys’ fees, court costs, arbitration fees, and collection-agency fees.

6A. Premium Coaching & Agency Services: Additional Terms This Section applies specifically to clients enrolled in high-ticket coaching or custom agency services (e.g., Web Design builds or dedicated Social Media Management).

You are committing to the full Fee. Enrollment/signing is a commitment to pay the entire Fee for your full project scope or term.

Client Delays: For agency services (like Web Design), if the project is delayed due to your failure to provide necessary assets, feedback, or approvals within a reasonable timeframe, Social Blueprint reserves the right to continue billing on the agreed-upon schedule, or pause the project and assess a restart fee. Client-caused delays do not warrant a refund or a cancellation of remaining payment obligations.

7. Auto-Renewal of Auto-Renewing Products (Including SMS & Retainers) IMPORTANT: AUTO-RENEWAL DISCLOSURE If the Service you are purchasing is identified as an Auto-Renewing Product (such as the Daily SMS Subscription or a monthly Social Media Management retainer), you are signing up for an automatically renewing Service.

7.2 How Auto-Renewal Works You authorize Social Blueprint to automatically charge your designated payment method on file for additional renewal terms, at the renewal fee then in effect, until you cancel.

Renewal fee. The designated payment method on file will be charged automatically on your Renewal Date.

Cancellation right. You have the right to cancel at any time before the next Renewal Date. Cancellation prevents future renewals but does not refund any portion of the current term that has already been paid for.

7.6 How to Cancel Billing You may cancel the billing of any Auto-Renewing Product at any time before the next Renewal Date by emailing [email protected] with the subject line “Cancel” followed by the name of the Service. Cancellation is effective immediately for purposes of stopping future renewals. (Note regarding SMS: Replying STOP to a text message automatically revokes your consent to receive further text messages, but it DOES NOT automatically cancel your financial subscription in our billing system. You must email us to cancel the recurring financial charge).

8. Refunds, Cancellations, and Chargebacks 8.1 No Refunds (General Rule) Unless Social Blueprint expressly states otherwise in a separate written contract, all sales are final and all payments are non-refundable to the fullest extent permitted by law. Because the Services involve immediate access to digital materials, reserved agency capacity, custom labor, and proprietary content, you understand and agree that Social Blueprint is not required to provide refunds for change of mind, scheduling conflicts, subjective dissatisfaction with designs or content, or lack of business results.

8.6 Chargebacks You agree not to initiate a chargeback or payment dispute against Social Blueprint except in the case of actual unauthorized use of your payment method. Before initiating any chargeback, you agree to first contact us at [email protected] and provide at least thirty (30) days to attempt to resolve the matter in good faith. If you submit a chargeback in breach of these Terms, your access and agency services will be immediately suspended. Social Blueprint may pursue recovery of the disputed amounts along with all chargeback-related fees, processor penalties, and reasonable attorneys’ fees.

9. Account Access and Security You may not share your passwords, transfer your account, or allow unauthorized third parties to use your access to our products or portals.

10. Limited License and Permitted Use Subject to your continued compliance with these Terms, Social Blueprint grants you a limited, revocable, non-exclusive license to access and use the digital Services (like the 30-Day Blueprint or Daily SMS Trends) solely for your own personal brand or business. You may not copy, reproduce, republish, resell, license, or commercially exploit any portion of our intellectual property or templates to create a competing product.

11. Intellectual Property All Program Materials, including curriculum, daily text trends, frameworks, graphics, and templates, are owned by or licensed to Social Blueprint LLC. Custom web design files and assets created during agency services will be transferred to you only upon receipt of payment in full for the project.

14. Peer & Client Confidentiality In coaching environments or agency consultations, you may be exposed to non-public business strategies. You agree to treat any proprietary information shared by Social Blueprint or other clients as strictly confidential.

18. Educational & Marketing Purpose; No Professional Advice The Services are provided for educational, marketing, and business-development purposes only. Social Blueprint does not provide legal, tax, accounting, or licensed professional advice.

19. No Guarantee of Results You understand and agree that Social Blueprint does not promise or guarantee any specific outcome. This includes, without limitation, any guarantee of revenue, sales, audience growth, followers, views, reach, engagement, or virality resulting from our web design, social media management, coaching, or SMS trends. Social media and business outcomes depend on algorithm changes, market conditions, and factors beyond our control.

20. Technology and Platform Availability We rely on third-party platforms (Stripe, GoHighLevel, Meta, Instagram, WordPress, Shopify, etc.). Social Blueprint is not responsible for outages, platform removals, algorithm changes, or account suspensions by third-party tech platforms outside our reasonable control.

22. SMS Messaging Terms & TCPA Consent By providing your mobile phone number and opting in to receive SMS text messages from Social Blueprint LLC, you consent to receive recurring automated text messages, including but not limited to daily trend alerts, promotional offers, program updates, and marketing communications. Message frequency may vary. Message and data rates may apply. Consent to receive SMS messages is not a condition of purchase.

Opt-In. You may opt in by checking a box at checkout, submitting a web form, or texting a keyword to our number.

Opt-Out. You may opt out of receiving SMS messages at any time by replying STOP to any message. You will receive a single confirmation message acknowledging your opt-out. (As noted in Section 7.6, replying STOP does not cancel your financial billing; you must email support to cancel billing).

Help. For assistance, email [email protected].

Supported Carriers. Social Blueprint is not liable for delayed or undelivered messages due to carrier filtering.

23. Force Majeure Social Blueprint is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, internet outages, third-party-service failures, or cyberattacks.

24. Suspension and Termination Social Blueprint may suspend, pause agency work, or terminate your access to the Services, immediately and without refund, if we determine that you have breached these Terms, failed to make required payments, engaged in misconduct, or posed a legal risk to the Company.

25. Disclaimers To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind.

26. Limitation of Liability To the fullest extent permitted by law, Social Blueprint’s total cumulative liability arising out of or related to the Services or these Terms will not exceed the amount actually paid by you to Social Blueprint for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

27. Indemnification You agree to defend, indemnify, and hold harmless Social Blueprint LLC from any third-party claims, liabilities, damages, and expenses arising out of your breach of these Terms, your business operations, or your use of our marketing assets.

28. Dispute Resolution, Arbitration, Class Waiver, and Texas Law

28.1 Informal Resolution: The parties agree to attempt to resolve any dispute informally for at least thirty (30) days by sending written notice.

28.2 Binding Individual Arbitration: Any dispute arising out of or relating to these Terms or Services will be resolved through binding individual arbitration seated in Hays County, Texas. Either party may seek injunctive relief in court for nonpayment or intellectual property violations.

28.3 Class-Action Waiver: You and Social Blueprint waive any right to a jury trial and any right to participate in a class action or mass arbitration.

28.4 Governing Law and Venue: Governed by the laws of the State of Texas. Any permitted court proceeding shall be brought exclusively in Hays County, Texas.

29. Notices Notices to Social Blueprint under these Terms must be sent in writing to the contact address below. We may deliver notices to you by email.

30. Survival Payment obligations, Intellectual Property rights, Confidentiality, Disclaimers, and Dispute Resolution sections survive termination of these Terms.

31. Changes to the Terms We may update or modify these Terms from time to time. Continued use of the Services after updated Terms become effective constitutes acceptance of those changes.

32. Miscellaneous These Terms constitute the entire agreement between you and Social Blueprint regarding the Services, superseding prior marketing or informal communications. If we enter into a supplemental signed Service Agreement or Statement of Work for agency services, that specific agreement controls over these Terms only to the extent of any direct conflict.
